Terms of Service

These Terms of Service govern your access to and use of Inkly, an electronic signature and document-signing platform ("Inkly," "we," "us," or "our"). Please read them carefully. By creating an account or using the service, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using Inkly, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use the service.

If you use Inkly on behalf of an organization, you represent that you have authority to bind that organization to these terms, and "you" refers to both you and that organization.

2. Description of the Service

Inkly lets you upload documents, add signature and form fields, send signing invitations to recipients, collect electronic signatures, generate an audit trail, and store completed documents.

We may add, change, or remove features over time, and we may set reasonable limits on usage, such as storage or sending volume, based on your plan.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use Inkly.

You are responsible for the information you provide when registering, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at hello@inkly.so if you suspect unauthorized use.

4. Electronic Signatures and Legal Validity

Inkly is designed to support legally binding electronic signatures. You are responsible for confirming that electronic signatures are valid and enforceable for your particular documents and in the jurisdictions that apply to you.

You agree that signatures, records, and audit trails generated through Inkly may serve as evidence of the signing process. We do not provide legal advice, and the service is not a substitute for guidance from a qualified attorney.

5. Acceptable Use

When using Inkly, you agree not to:

  • Upload, send, or store content that is unlawful, fraudulent, infringing, or that you do not have the right to use.
  • Use the service to forge signatures, impersonate others, or obtain signatures through deception.
  • Attempt to gain unauthorized access to the platform, other accounts, or our systems, or interfere with the normal operation of the service.
  • Distribute malware, run security scans without permission, or use the service to send spam or unsolicited messages.
  • Resell or provide the service to third parties except as expressly permitted by your plan.

6. Your Content and Documents

You retain all rights to the documents and other content you upload to Inkly. You grant us a limited license to store, process, and transmit that content solely to provide the service to you and your recipients.

You are solely responsible for the legality and accuracy of the documents you process and for ensuring you have the necessary rights and consents from your recipients.

7. Subscriptions, Billing, and Payment

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your chosen payment method for the applicable fees until you cancel.

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You can cancel at any time from your account settings, and cancellation takes effect at the end of the current period.

Fees may change. If we adjust pricing, we will give you advance notice, and the new pricing will apply from your next billing cycle. Refunds are governed by our Refund Policy.

You are responsible for any taxes associated with your subscription unless we are required to collect them on your behalf.

8. Intellectual Property

Inkly, including its software, design, logos, and documentation, is owned by Inkly and protected by intellectual property laws. These terms do not grant you any ownership in the service.

You may not copy, modify, reverse engineer, or create derivative works from the platform except as permitted by law.

9. Third-Party Services

Inkly relies on third-party providers, such as payment processing and infrastructure services, to operate. Your use of those services may be subject to their own terms, and we are not responsible for their actions or availability.

10. Disclaimers

Inkly is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the service will be uninterrupted or error-free, or that documents and audit trails will meet your specific legal requirements.

11. Limitation of Liability

To the maximum extent permitted by law, Inkly and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business arising from your use of the service.

Our total liability for any claim relating to the service will not exceed the amount you paid to us in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Inkly from any claims, losses, or expenses, including reasonable legal fees, that arise from your use of the service, your content, or your breach of these terms.

13. Termination

You may stop using Inkly and close your account at any time. We may suspend or terminate your access if you violate these terms, fail to pay applicable fees, or use the service in a way that creates risk for us or other users.

When your access ends, your right to use the service ends with it. We may delete your content after a reasonable period, so you should export any documents you want to keep before closing your account.

14. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will take reasonable steps to notify you. Continuing to use Inkly after changes take effect means you accept the updated terms.

15. Governing Law and Disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Delaware.
